Changes for business under the New West Partnership

The New West Partnership Trade Agreement, a far-reaching economic partnership between Saskatchewan, Alberta, and British Columbia, has new rules for businesses. The New West Partnership (NWP) eliminates the need for multiple business registrations from one province to the next and streamlines regulatory requirements involved in starting and operating a business.  In an effort to streamline the process, various changes have occurred to simplify different aspects of registration. 

As of July 1, 2012, the NWP will affect any business corporations that are currently registered extra-provincially in Saskatchewan, Alberta, and British Columbia, or any business corporations that intend to register extra-provincially in these provinces. If a business corporation in these provinces wants to carry on business in the other Western provinces, its home jurisdiction will facilitate the registration in the other jurisdiction(s) on the business’ behalf. 

Registration and Head Office Changes
Extra-provincial registration can be done at the time of incorporation, either online through the Corporate Registry, or online through Business Registrations Saskatchewan. After incorporation, extra-provincial registration can only be done online through ISC's Corporate Registry. 

Saskatchewan business corporations registered extra-provincially in Alberta or British Columbia can change their head office information in those jurisdictions online through ISC’s Corporate Registry.

Corporate Name
ISC will facilitate the name search and reservation for Saskatchewan business corporations that want to register extra-provincially in Alberta and British Columbia. A separate name reservation number is required to complete the extra-provincial registration process for business corporations in both Alberta and British Columbia. Although fees will apply for the extra-provincial name search, there will be no fee charged to register extra-provincially in the other jurisdictions.

Attorney Consent
Attorneys will no longer be required to acknowledge consent to act as an attorney. Instead, they will receive the certificate of registration and a letter advising they have been named as the attorney for new extra-provincial registrations post July 1, 2012. If an attorney has been appointed without his or her consent they are required to contact the Corporate Registry at 306-787-2962 to be removed. 

Returns and Reports
As of July 1, 2012 annual returns are only required in the home jurisdiction, and only the home jurisdiction will charge a fee to file the annual return. 

Profile reports for Alberta and British Columbia business corporations registered extra-provincially in Saskatchewan will not list the names and addresses of the directors. This information can instead be obtained from the business corporation’s home jurisdiction.
